Clarify which parts of the software the client can rebrand — including logos, domain, UI elements, and documentation. Include any restrictions on customization.

Specify that the provider retains ownership of the core platform while granting branding rights to the client. Prevent unauthorized resale or sublicensing.

State who handles end-user support, software updates, and bug fixes — the provider or the white-label client. This avoids confusion in ongoing operations.

Require the client to follow brand guidelines, avoid misleading claims, and comply with all laws. Include audit rights if needed.

Include wholesale pricing, payment terms, and whether resale pricing is controlled or freely set by the client. Address volume tiers or minimums.

Clarify that the client’s end-users remain their responsibility, and the client must ensure proper data handling under privacy laws.

Detail how and when the agreement can end, and what happens to branded versions of the software upon termination (e.g., deactivation or rebranding timeline).

Limit your liability and require the client to indemnify you for misuse or illegal actions by their end-users. Important for regulatory and reputational risk.

Include applicable law and forum for dispute resolution. Consider mediation/arbitration if the client is in a different jurisdiction.
