Free SaaS Agreement Checklist

Clearly state the full legal names and addresses of both the SaaS provider and the client. This ensures there's no ambiguity about who is entering into the agreement.

Describe exactly what services are being offered — including software modules, APIs, support levels, and any uptime guarantees. Be specific to avoid future disputes.

Specify the pricing model (subscription, usage-based, etc.), billing frequency, due dates, and late payment policies. Include any one-time setup fees or discounts.

Clarify who owns the underlying software, customizations, and any content created or uploaded. Typically, the provider retains IP rights to the platform itself.

State that the client retains ownership of their data and how it will be used, stored, or shared. Address data access, portability, and deletion rights upon termination.

Outline how either party can terminate the contract, required notice periods, and whether the agreement renews automatically. Include conditions for early termination.

Limit your liability for indirect damages and clarify that the service is provided 'as is' unless stated otherwise. Set a cap on damages, often tied to fees paid.

Specify which country's/state's laws apply and which courts will handle any disputes. This is critical when parties are in different regions.
